Job Responsibilities

1. Corporate Governance & Corporate Secretary; 

  • Support in developing and executing the Corporate Governance Agenda; details as follows:
  • Develop and manage CG Compliance Guideline: Standardize the procedure(s) related to CG compliance as required by JVA & Vietnam laws
  • Develop and manage BOD Portals: provide BOD with all BOD documents/approvals since JV establishment with a clear index, in a secure and timely fashion.
  • Training on Corporate Governance Compliance: Ensures that good corporate governance practices are maintained at all levels of the company. 
  • CG Compliance check with compliance checklist: Annual Exercise to prevent missing points; Auto-reminder for simplification
  • Prepare/ Draft/ Review corporate documents/agreements including but not limited to POA, SPI resolutions, MC resolutions, POA, Coop Agreement, EBA and its amendments and secondment agreement.
  • Provide Legal advice in relation to the above-mentioned matters.

2. Advocacy
Coordinate for Legal Advocacy agenda which includes but is not limited to Excise Tax, Sugar Tax; details as follows:

  • Research, analyze, and evaluate issues related to Government action on advocacy projects 
  • Prepare/ Draft/ Review papers, documents, reports, etc., to execute strategies of any advocacy projects.
  • Coordinate with CA, SRA, advocacy/ law firms, and other stakeholders to prepare/ draft/ review materials to implement the advocacy strategies.
  • Work with CA to develop communications plans for programs and campaigns, including working across teams to manage the rapid response to strategic communications.
  • Monitor and prepare updates to the leadership team on the advocacy process.
  • Engage with and manage contracts with vendors

3. Legal Compliance and Licensing:
3.1 Company Licenses compliance enhancement;

  • Coordinate with the relevant stakeholders to do the compliance health check in connection with Land Law and Law on construction. Advise and execute the appropriate legal procedures as their mitigation and enhancement action plans.
  • Advise and execute the licenses and relevant matters to enable the strategic projects that may come from time to time.

3.2 Compliance for new Legal regulations (CO2 Emission, EPR,..);

  • Develop legal compliance agenda for new regulations
  • Communication and training in this regard.
  • Implement and follow up with PIC to ensure all the requirements can be completely satisfied.

4. Legal Operation:
- Coordinate for Legal Technology, Automation Agenda, and Simplification, details as follow:
+ Develop Legal Technology and automation Agenda.
+ Facilitate the implementation of Legal automation and simplification agenda: Follow up with relevant PIC from Legal and IT to ensure that all the categories aligned in this agenda shall be executed on time in full.

Skills and Experience

  • Law degree, experience in dealing with compliance issues are preferred
  • 3-4 years of experience in Corporate Governance/Compliance/ Audit/ In-house Legal role is a plus.
  • Basic understanding of how to enforce the rules regulating the company. 
  • Able to deal and work with businesses, employees and managers in a tactful and professional way"
  • Influencing skills, result oriented, change management.
  • Independence, communication and interview skill, including the ability to ask the “tough” questions.
  • Advanced English
