About your role
This job is to ensure all the requirements of the Joint Venture Agreement and corporate-related legal regulations are in good compliance, support the sustainable development of the company through licensing agenda, which facilitates new product lines, new projects, or project expansions and enhances the Corporate Governance which is now emerging as the key focus of Legal compliance and JV management agenda.
What You'll Do
1. Legal licensing registration process
Lead licensing agenda to facilitate and enable beverage business and provide legal protection and legal risk management advice to relevant stakeholders in this regard
Take full control of licensing management to ensure all the company licenses are properly recorded and protected
2. Corporate governance
Draft and prepare corporate documents (Company resolutions, related-party contracts, reports, presentations, etc.) as per Company Corporate Governance requirements
Design and uphold the company’s corporate governance framework.
3. Take lead in preparation of Delegation and Proxy
Develop and Maintain POA Management Page
Review general and ad-hoc POAs to ensure compliance with all legal regulations as well as Company SOA. Ensure all the delegations of a company are in line with JVA, Charter, Suntory COA, and Vietnam Laws.
Provide advice on POAs implementation and usage during the daily operation of the Company
4. Company secretarial
Ensure that the company’s inspectors’ and directors’ responsibilities are set out under Enterprise law and Company Charter are in good compliance.
Ensure the high-level secrecy and privacy for all legal data
5. Legal protection and compliance
Develop and take lead in the legal compliance agenda for (i) Corporation law, (ii) Foreign Investment law, (iii) Land Law, (iv) Law on construction at 6 company projects (incl. SGF). Spot and research legal issues impacting the organization. Continuously monitor to ensure that all Company day-to-day activities are in good compliance with statutory obligations.
Develop guidance, policies, etc., to secure/facilitate ongoing compliance
Do Legal assessment for CAPEX projects and clarify any relevant concerns during the CAPEX approval process.
6. Automation, Legal Survey
Join industry forums; research the practice of other multi-national companies to utilize their best practice for SPVB Legal team
7. Legal Advocacy
Involve in the discussion with the related governments and maintain relationships with authorities and government agencies for support and positive response when being challenged
Prepare/review official letters/reports/explanations to the government authorities
8. Taking the Legal Business Partner role for Alcoholic RTD and its new related products
Be a Legal Business Partner providing legal advice for RTD business, covering all legal aspects, including Laws/Regulations on Food Safety, Labeling, Advertisement, Liquor Manufacturing, and Trading, etc. related to RTD business for both SPVB and SPVB's distributors.
9. Be Legal key contact for new Strategic Projects that span business boundaries
Provide legal services (Legal Due Diligence, Contract negotiation, Contracting process, compliance with the Law on Fire Fighting and prevention, and the Law on Environmental Protection)
Develop licensing/ entity structures to counter Excise Tax and other emerging business demands
Design the plan and monitor SPVB's suppliers under outsourcing/ productivity projects (e.g., Biomass Steam outsourcing for all 4 Plants, Procurement Outsourcing, etc.) to ensure their compliance and that no critical legal risk arises to SPVB.

What You need to be successful
- Law graduate, Lawyer professional training course
- More than 7 years of pertinent experience with escalating levels of responsibilities
- Strategic networking with the Government, Outside Legal Consultants, and the Company Leadership team
- Digital-up skills to lead the automation agenda and unlock the increasing workload following the business upscale situation
- Project management
- Excellent communication, negotiation, and presentation skills
- Proactive, able to work effectively in a team and independently under high pressure and tight deadlines
- Teamwork, customer orientation, Visioning, and other Leadership skills of the future
- Advanced English
- Basic PC
- Strong social/market talent networking
